Nope its totally legal, if Microsoft puts it there, it's there for a reason.

If you license transfer with another friend so you both have a game, you could be banned for Marketplace Theft and you can't buy anything from the store anymore.
If you're going to license transfer to another console and use the game on there with the same Gamertag, you should be fine.

It's theft. Anyone who attempts to argue otherwise is an idiot.
Here's the example I'm always going to use now.
Person 1 buys candy bar from store (DLC)
Person 2 wants the same candy bar (DLC)
Person 2 takes candy bar without paying (license transfer)
Person 1 and 2 walk out of the store.
Does that sound at all legal? No.
That reason is so you can get your content back if you were to buy a new console. Not steal from them.

Its more like this.
Person one buys candy.
Person two also wants candy.
Person one who already paid shopkeeper and shopkeeper is happy.
Person one clones his candy and gives the cloned candy to person two.
person two now has candy aswell as person one and the shopkeeper still got paid for only selling one candy.
