The M45 has a newer and slightly better sensor than the M40. The M45 uses the Pixart 3310 and the M40 uses the Avago 3090. Both are excellent.

I like the M65, great mouse I've used it at my friends house i really liked it.. Just the way it was in my hand was just nice to hold... Good things are Dedicated sniper button, 8200 DPI laser sensor, blah blah blah, great mouse, little more pricey. but I liked it. Currently on the R.A.T 5 as a daily driver, and wow. I can let go of this either.. Just out some of Madcatz RAT series.. Great build.

Both of those are laser mice with awful acceleration, so the argument can be made that the M40/M45 (or any other flawless optical mouse, for that matter) are better.
