The B85 would require the BIOS flash. The H97 would not.

Woah. Hold up. Nothing wrong with aftermarket cooling on a locked CPU, it makes perfect sense since the stock cooler is loud, and ugly. Z97 chipset's only use is not overclocking. The Z87 and Z97 chipsets are the only LGA1150 chipsets that support SLI.
