So i currently have an i3 3240 in another system. I was looking to upgrade to i5 3570k.

If i buy the 3570k will i just be able to take the i3 out and put i5 in and it will be fine?

They both have same LGA1155 Socket.

As long as they are both the same socket (which they are) that should work just fine.

Yes, you could. However, as you have a locked i3, it is unlikely you have a Z68/Z77 chipset motherboard. So, an unlocked i5 SKU is kind of a waste. You should be able to get an i5-3470 or i5-3570 for a better price, and those will perform just as well if you're not overclocking.
