The Gigabyte GeForce GTX 970 G1 Gaming edition graphics card features a 1178MHz core clock with a 1329MHz boost clock, 4GB 256-bit GDDR5 memory, PCI-E 3.0, 1644 CUDA cores, DirectX 12 support, OpenGL 4.4 support, 2x DVI, HDMI, DisplayPort and more. Backed by a 3 year Gigabyte warranty.

The Gigabyte one has a higher boost clock speed by the looks of things.
Also has an extra year of warranty.
Not only the above, but it's a bit cheaper.
If it was me, I'd take the Gigabyte one.
Although there probably isn't any difference, the HOF one is probably more expensive
because of the branding / name.
